Welcome to KORA Sound (“Platform,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of the KORA Sound website, marketplace services, and applications located at korasound.studio.

By creating an account, uploading content, making a purchase, or otherwise using the Platform, you (“User,” “Creator,” or “Buyer”) agree to be bound by these Terms. If you do not agree, you may not use the Platform.


1. ELIGIBILITY & ACCOUNT REGISTRATION

1.1 Minimum Age: You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to create an account, upload content, and receive payouts.

1.2 Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately at info@korasound.studio of any unauthorized access or suspected breach.

1.3 Single Account: Users may maintain only one active account. Creating multiple accounts to bypass tier limits, artificially inflate sales, or engage in fraudulent activity will result in immediate termination and forfeiture of any pending earnings.


2. THE KORA SOUND PLATFORM & SUBSCRIPTION TIERS

KORA Sound is a marketplace facilitating the licensing and sale of digital audio content, including MP3s, WAV files, Stems, and associated AI prompts (collectively, “Content”).

2.1 Subscription Tiers, Features & Payouts

Creators may participate in the following subscription tiers:

KORA Starter (Free)

  • 30 tracks total upload limit (MP3 format only)
  • Sell AI Prompts (required for AI-generated tracks)
  • 1 GB cloud storage
  • Revenue split: Creator keeps 80% of net revenue (after payment processing fees)
  • Standard monthly payouts — processed on the 1st business day of each calendar month, subject to a minimum payout threshold of $20.00 USD
  • WAV files, Stems, and VIP Expert Sessions not available on this tier

KORA Pro ($13.99 / month)

  • Unlimited MP3 and high-quality WAV uploads
  • Sell AI Prompts (required for AI-generated tracks)
  • 100 GB cloud storage
  • Revenue split: Creator keeps 85% of net revenue (after payment processing fees)
  • Expedited weekly payouts — processed every Friday, subject to a minimum payout threshold of $20.00 USD
  • Stems (multi-track files) not available on this tier
  • VIP 1-on-1 Expert Sessions not available on this tier

KORA Unlimited ($23.99 / month)

  • Unlimited track uploads in all formats (MP3, WAV, and Stems)
  • Sell AI Prompts (required for AI-generated tracks)
  • 500 GB cloud storage
  • Revenue split: Creator keeps 90% of net revenue (after payment processing fees)
  • Instant payouts with zero holding periods, subject to a minimum payout threshold of $20.00 USD
  • Sell Studio-Quality Formats (WAV & Stems)
  • VIP 1-on-1 Expert Sessions included

Payout Currency: All payouts are issued in USD via Stripe. Creators outside the United States are responsible for any currency conversion fees or international transfer charges applied by their financial institution.

Minimum Payout Threshold: Earnings must reach a minimum balance of $20.00 USD before a payout is initiated. Balances below this threshold roll over to the next scheduled payout cycle.

Payout Holds: KORA Sound reserves the right to place a temporary hold on payouts if fraudulent activity, a dispute, or a DMCA claim is under active investigation. Creators will be notified by email within 48 hours of any hold being applied.

2.2 Storage, Bandwidth & Fair Use Policy

Storage Quotas: “Unlimited uploads” refers to the frequency and quantity of file uploads, strictly up to the maximum data storage capacity of your chosen subscription tier (1 GB for Starter, 100 GB for Pro, 500 GB for Unlimited). Once a storage quota is reached, new uploads will be temporarily restricted until additional storage is purchased or existing files are deleted.

Bandwidth & Excessive Use: KORA Sound monitors bandwidth consumption to protect platform infrastructure. Usage that vastly exceeds average behavior for similar accounts may require review. Examples of excessive use include generating over 50 GB of download bandwidth per day or utilizing automated bots to upload or download mass quantities of files.

Enforcement: If an account’s usage severely impacts platform performance, KORA Sound reserves the right to: issue an account notification via email; request immediate data management; temporarily throttle download speeds or suspend the account if the issue is unresolved after a 14-day notice; or require the account to upgrade to a custom Enterprise tier. 2.3 Payments & Taxes

All transactions are processed via Stripe. Creators are solely responsible for providing accurate payout information and for determining, reporting, and remitting all applicable local, state, and federal taxes on their earnings. KORA Sound does not provide tax advice. Creators generating significant income through the Platform are encouraged to consult a qualified tax professional.


3. USER CONTENT & CREATOR WARRANTIES

As a marketplace, KORA Sound does not produce content. You retain 100% of your ownership rights, or commercial licensing rights, in your Content. For every piece of Content you upload, you explicitly warrant and represent that:

  • Authority: You possess the full legal right and authority to sell, license, and distribute the Content on KORA Sound. This includes confirming that no other party — such as a co-creator, employer, record label, or music publisher — holds any conflicting rights over the Content.
  • No Infringement: The Content does not infringe upon any third party’s intellectual property, copyright, trademark, or rights of publicity. You acknowledge that KORA Sound uses automated audio fingerprinting technology to screen uploads against known copyrighted works, and that any match may result in rejection or removal of your Content without prior notice.
  • AI Service Compliance & Sublicensing Authority: If your Content was generated using a third-party AI service (e.g., Suno, Soundverse, Mureka), you warrant that: (a) the Content was created while you were an active paying subscriber on a plan that explicitly grants commercial use rights; (b) its creation and commercial sale on KORA Sound fully complies with that AI service’s current Terms of Use; (c) you were not using a free-tier plan at the time of creation; (d) the Content was not created using any internal “remix” or “audio-to-audio” features that the AI service expressly prohibits from commercialization. and (e) the commercial use rights granted to you by your AI platform subscription include the right to license the Content to third-party buyers for commercial use through KORA Sound’s marketplace, and that no restriction in your AI platform’s Terms of Use prohibits such sublicensing. You acknowledge that this sublicensing chain has not been definitively settled by law or court ruling as of the effective date of these Terms, and that you accept full personal legal responsibility for any claim arising from it. KORA Sound makes no representation that such sublicensing is legally guaranteed and cannot be held liable for any future legal developments that may affect the validity of AI-generated content licenses.
  • Legal Standing & Ongoing Compliance: You acknowledge that the legal landscape governing AI-generated content is evolving and may change. You accept sole responsibility for monitoring any changes to the Terms of Use of the AI platform(s) you use and for ensuring ongoing compliance. You also accept sole legal responsibility for any disputes, claims, or liabilities arising from your Content, including claims related to its AI-generated nature, and agree to indemnify KORA Sound as set out in Section 11.

4. CONTENT REVIEW, APPROVAL & STATUS

All uploaded Content is subject to a review process before becoming publicly available for purchase, in order to protect buyers and maintain platform integrity.

4.1 Upload Status Definitions

Every piece of Content on KORA Sound carries one of the following statuses at all times:

  • Pending: Content has been received and is currently under automated and/or manual review. During this status, the Content is not visible to buyers and cannot be purchased. Pending is the starting point for all newly uploaded Content and is where automated copyright screening takes place. Creators will receive an email confirmation when their upload enters the review queue.
  • Live: Content has successfully passed all review checks — including copyright screening, metadata verification, AI disclosure tagging, and audio quality assessment — and is approved for public listing and sale. Creators will be notified by email when their Content goes Live.
  • Rejected: Content has failed one or more review criteria and has been removed from the review queue. Rejected Content is not visible to buyers and is not available for sale. The Creator will be notified by email with the specific reason for rejection. Rejected Content may be corrected and re-uploaded if the grounds for rejection can be remedied. See Section 4.4 for the appeals process.
  • Suspended: Content that was previously Live has been temporarily removed from sale pending investigation of a dispute, DMCA claim, or suspected policy violation. Suspension does not constitute a final determination of wrongdoing. The Creator will be notified by email within 48 hours of suspension with the reason and expected resolution timeline. Buyers who have already purchased Suspended Content retain access to their downloaded files under the terms of their purchased license.
  • Under Appeal: Content that has been Rejected and for which the Creator has submitted a formal appeal. During this status, the Content remains unavailable for sale while KORA Sound reviews the appeal. See Section 4.4 for the full appeals process.

4.2 Review Criteria

Content may be rejected for any of the following reasons:

  • Detection of a copyright match against existing protected works via automated audio fingerprinting
  • Failure to comply with the AI disclosure tagging requirements set out in Section 5
  • Evidence or reasonable suspicion that the Content was created on a free-tier AI plan that does not grant commercial use rights
  • Audio quality below minimum platform standards (for example: excessive distortion, incomplete files, or corrupted audio data)
  • Prohibited content as described in Section 9
  • Incomplete, inaccurate, or misleading metadata
  • Any other material violation of these Terms identified during review

4.3 Review Timeframe

KORA Sound aims to complete content review within 72 hours of upload during normal operating conditions. Review times may be longer during high-volume periods or when manual review is required. Creators will be notified by email upon any status change.

4.4 Appeals

If your Content is Rejected and you believe the decision was made in error, you may submit a formal appeal by emailing info@korasound.studio with: your account username, the title of the rejected Content, the rejection reason provided, and a clear explanation of why you believe the decision was incorrect. KORA Sound will review appeals within 5 business days and communicate the outcome by email. The outcome of the appeal process is final.


5. MANDATORY AI-GENERATED CONTENT DISCLOSURE

To maintain absolute transparency for buyers and to comply with emerging AI content disclosure standards, all Creators must accurately tag the origin of their Content using KORA Sound’s disclosure system at the time of upload. Accurate tagging is not optional — it is a condition of listing Content on the Platform.

5.1 Tagging Requirements

Each piece of Content must be assigned exactly one of the following three origin tags:

  • Human-Created: Content created entirely by human musicians, producers, or composers using traditional instruments, digital audio workstations (DAWs), or conventional studio production methods, without the use of any generative AI tool at any stage of the creative process. Creators selecting this tag confirm that no AI text-to-audio, audio-to-audio, or generative AI model was used in the composition, production, or mastering of the Content.
  • AI-Generated: Content generated fully or predominantly by a generative AI text-to-audio or audio-to-audio model, including but not limited to Suno, Udio, and Mureka. Creators selecting this tag must: (a) disclose the specific AI tool used; and (b) confirm that the Content was generated while they were an active subscriber on a paid plan from that AI service that explicitly grants commercial use rights. Human involvement limited to writing prompts, selecting outputs, or basic post-processing does not qualify Content as Hybrid — it remains AI-Generated.
  • Hybrid (AI + Human): Content that combines AI generation with substantial and meaningful human creative contribution. To qualify as Hybrid, the human contribution must go beyond prompt writing or basic EQ adjustments and must include significant creative work such as: recording live vocals or instruments over an AI-generated backing track; substantially re-arranging or re-producing AI-generated material; or professionally mixing and mastering AI-generated stems with significant human-applied creative decisions. Creators selecting this tag must disclose the AI tool(s) used and confirm that the Content was created under an active paid subscription that grants commercial use rights.

5.2 Misrepresentation

Falsely tagging AI-Generated or Hybrid content as Human-Created, or failing to disclose the AI tools used, constitutes a material breach of these Terms. This will result in: immediate removal of the affected Content; potential permanent termination of the Creator’s account; and forfeiture of any pending earnings associated with the misrepresented Content.


6. LICENSE TIERS & BUYER RIGHTS

KORA Sound operates a multi-tier licensing system. The specific rights granted to a buyer are determined solely by the license tier selected and paid for at the time of purchase. All licenses are non-exclusive, worldwide, and perpetual unless otherwise specified below.

6.1 License to KORA Sound (Platform Operating License)

By uploading Content, you grant KORA Sound a non-exclusive, royalty-free, worldwide license strictly limited to hosting, storing, reproducing, streaming, and displaying your Content solely for the purpose of operating, marketing, and facilitating sales on the Platform. This license terminates automatically when you permanently remove your Content from the Platform.

6.2 License Tiers Granted to Buyers

Tier 1 — Personal License ($1.99 – $4.99)

  • For non-commercial, personal use only
  • Permitted uses: personal listening, personal hobby projects with no monetization, private use
  • Not permitted: any content that generates revenue, advertising, commercial projects, public performance, or distribution

Tier 2 — Standard Commercial License ($4.99 – $19.99)

  • YouTube monetization (up to 500,000 streams or views)
  • Spotify, Apple Music, and other music streaming platforms
  • Sponsored podcasts and social media content
  • Social media advertising (Facebook, Instagram, TikTok)
  • Corporate videos (internal use only)
  • Stream limit: 500,000
  • Not permitted: mobile apps, video games, retail or background music, physical copies, TV or radio broadcasting, film or streaming platform placement

Tier 3 — Extended Commercial License ($9.99 – $49.99)

  • All rights included in Standard Commercial, PLUS:
  • Mobile apps (paid or free)
  • Video games (indie and commercial)
  • Retail and background music (stores, restaurants, salons, fitness classes)
  • Corporate videos (internal and external use)
  • Large YouTube channels (up to 1,000,000 streams or views)
  • Physical copies (up to 1,000 CDs or vinyl pressings)
  • AI Prompt included for AI-Generated and Hybrid tracks
  • Stream limit: 1,000,000
  • Not permitted: TV or radio broadcasting, theatrical film release, placement on major streaming services (Netflix, Hulu, Disney+, Amazon Prime)

Tier 4 — Broadcast / Sync License ($49.99 – $199.99)

  • All rights included in Extended Commercial, PLUS:
  • Television broadcasting (network and cable)
  • Theatrical film and cinema release
  • Radio broadcasting (terrestrial and satellite)
  • Placement on major streaming platforms (Netflix, Hulu, Disney+, Amazon Prime)
  • Unlimited streams
  • Does not include exclusive ownership or removal from sale

Tier 5 — Marketplace Buyout / Exclusive License ($199 – $2,499)

  • Perpetual exclusive license — track is permanently removed from sale on KORA Sound upon completion of purchase
  • All rights included in Broadcast/Sync, PLUS exclusivity
  • No other buyer may purchase this track after the buyout is completed
  • Creator retains original authorship credit

6.3 AI Disclosure on Buyer Licenses

All licenses for AI-Generated or Hybrid content include the following mandatory disclosure provided to the buyer at the time of purchase: “This track contains AI-generated elements. Copyright registration may not be available in your jurisdiction. The buyer purchases a license to use the Content, not ownership of the underlying work.”

6.4 Restrictions Applying to All License Tiers

  • Buyers may not resell, sublicense, or redistribute the raw, unedited audio files as standalone competing products on any platform
  • Buyers may not claim copyright ownership of purchased audio
  • All licenses are non-transferable and may not be sold or assigned to another party
  • Use in adult, pornographic, defamatory, or politically extremist content is strictly prohibited under all tiers

7. REFUND & DISPUTE POLICY

7.1 General Refund Policy

Due to the digital and immediately downloadable nature of Content sold on KORA Sound, all sales are final. Refunds are not issued for change of mind, dissatisfaction with the style or sound of a track, or for any reason other than a verified technical defect as described in Section 7.2.

7.2 Eligible Refund Conditions

A refund or file replacement may be issued only under the following circumstances:

  • The downloaded file is corrupted and cannot be opened or played using standard audio software
  • The buyer received an incorrect file that does not match the purchased product listing
  • A technical error resulted in a duplicate charge for the same purchase

7.3 How to Request a Refund

Refund requests must be submitted to info@korasound.studio within 7 days of the purchase date and must include: the order number, a description of the technical issue, and evidence of the defect. KORA Sound will investigate and respond within 5 business days. Approved refunds will be returned to the original payment method via Stripe.

7.4 Disputes Between Buyers and Creators

If a buyer believes that purchased Content infringes upon a third party’s copyright or does not match its listing description, the buyer should contact info@korasound.studio. KORA Sound will:

  • Acknowledge the dispute within 48 hours
  • Notify the relevant Creator and request a response within 5 business days
  • Review available evidence and make a determination within 10 business days
  • Where infringement or misrepresentation is confirmed: remove the Content, issue a refund to the buyer, and deduct the relevant amount from the Creator’s pending earnings

8. STRICT ANTI-AI TRAINING & DATA PROTECTION

8.1 Absolute Ban on AI Exploitation

KORA Sound expressly warrants that we will NEVER:

  • Use, scrape, or process your Content (including audio files, metadata, or AI prompts) to train, fine-tune, test, benchmark, or develop any artificial intelligence, machine learning, or generative AI model
  • Sell, license, rent, or transfer your Content to any third-party AI developers, data brokers, or research institutions for any AI-related purpose
  • Develop, license, or commercialize AI-generated music products using data derived from Creator Content on the Platform

8.2 Active Technical Defenses

KORA Sound employs the following active technical measures to protect Creator Content from unauthorized access, scraping, and AI exploitation:

  • robots.txt Directives: KORA Sound maintains a strict robots.txt file that explicitly prohibits known AI training crawlers and data harvesting bots — including GPTBot (OpenAI), CCBot (Common Crawl), and anthropic-ai — from accessing any part of the Platform. This file also blocks automated access to the file storage directory, API endpoints, user account areas, and the checkout system.
  • Server-Level Rate Limiting: The Platform employs rate limiting that restricts the volume of requests any single IP address or user agent can make within a defined time period, preventing bulk automated downloading or crawling of Content.
  • Firewall & DDoS Protection: The Platform is protected by enterprise-grade firewall rules and DDoS mitigation technology that identify and block scraping behavior patterns, malicious bots, and unauthorized automated access attempts in real time.
  • Secure, Expiring Download URLs: All purchased files are served through time-limited, cryptographically signed download URLs that are unique to each buyer transaction, preventing bulk automated downloading or redistribution of Content files.
  • Access Controls on File Storage: Audio files are not publicly accessible via direct URL. All file access is mediated through the Platform’s authenticated download system, ensuring that only verified buyers with active licenses can access purchased Content.

8.3 Third-Party Infrastructure Providers

Essential third-party vendors engaged solely to provide operational infrastructure (such as web hosting providers, cloud file storage providers, and payment processors) are bound by strict contractual obligations limiting their access to Creator Content exclusively to their operational function. These providers are expressly prohibited from accessing or utilizing KORA Sound databases or Creator Content for any AI training or data harvesting purpose.

8.4 Right to Be Forgotten

Upon permanent account deletion, your Content will be removed from KORA Sound’s active servers within 30 days. Content that has already been lawfully purchased by buyers under a valid license tier remains accessible to those buyers under the terms of their purchased license, as the license was granted at the time of purchase and is not dependent on the Creator’s continued presence on the Platform.


9. PROHIBITED CONDUCT

You agree not to use the Platform to:

  • Upload viruses, malware, or any illegal material including child sexual abuse material or non-consensual intimate imagery
  • Engage in hate speech, harassment, or targeted abuse of any user or third party
  • Use automated bots or scripts to artificially inflate streams, plays, likes, downloads, or sales metrics
  • Attempt to reverse-engineer, decompile, or bypass any aspect of the Platform including payment gateways, access controls, or the content review system
  • Upload Content created on free-tier AI plans that do not grant commercial use rights
  • Misrepresent the origin of Content (Human, AI-Generated, or Hybrid) during the upload and tagging process
  • Engage in any activity that violates applicable local, national, or international law or regulation

10. DMCA & COPYRIGHT POLICY

KORA Sound complies strictly with the Digital Millennium Copyright Act (17 U.S.C. §512) and other applicable intellectual property laws. We act expeditiously to remove or disable access to allegedly infringing material upon receipt of a valid takedown notice.

Repeat Infringer Policy: Users who receive 3 valid DMCA takedown notices within a 12-month period will have their accounts immediately suspended or terminated, including forfeiture of any unpaid platform earnings.


11. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless KORA Sound, its officers, directors, employees, and agents from and against any and all claims, damages, liabilities, costs, or expenses (including reasonable attorney’s fees) arising from or related to: (a) your use of the Platform; (b) your violation of any provision of these Terms; (c) any claim that your uploaded Content infringes upon the intellectual property, privacy, or legal rights of any third party; or (d) any claim arising from the AI-generated nature of your Content, including claims by AI platform providers, rights holders, or regulatory authorities.


12. DISCLAIMER OF WARRANTIES & LIMITATION OF LIABILITY

12.1 “As Is” Basis: The Platform is provided on an “AS IS” and “AS AVAILABLE” basis. KORA Sound disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. KORA Sound does not warrant that the Platform will be uninterrupted, error-free, or free of harmful components.

12.2 Limitation of Liability: To the maximum extent permitted by law, KORA Sound shall not be liable for any indirect, incidental, consequential, or punitive damages, or for any loss of profits, data, or business opportunity, arising out of or related to your use of the Platform. In no event shall KORA Sound’s total liability to you for all claims arising out of or related to these Terms exceed the total amount of fees or commissions retained by KORA Sound from your account in the twelve (12) months immediately preceding the claim.

12.3 AI Content Limitation: KORA Sound makes no warranty or representation regarding the legality, copyrightability, or long-term commercial viability of AI-generated Content uploaded to or sold through the Platform. The legal and regulatory landscape governing AI-generated content is rapidly evolving, and KORA Sound cannot guarantee that current rights frameworks applicable to AI-generated music will remain unchanged. Creators and buyers both accept this uncertainty as an inherent characteristic of the AI music market.


13. GENERAL PROVISIONS

Governing Law & Dispute Resolution: These Terms shall be governed by and construed in accordance with the laws of the State of Florida, USA. Any dispute arising from or related to these Terms shall be resolved via binding individual arbitration in Florida, USA. By agreeing to these Terms, you expressly waive the right to participate in any class action lawsuit or class-wide arbitration proceeding.

Modifications to Terms: KORA Sound reserves the right to modify these Terms at any time. We will provide at least 14 days’ notice of material changes via email to your registered address and by posting a notice on the Platform. Continued use of the Platform following the effective date of revised Terms constitutes your acceptance of the changes.

Severability: If any provision of these Terms is found by a court of competent jurisdiction to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

Entire Agreement: These Terms, together with our Privacy Policy and DMCA & Copyright Policy, constitute the entire agreement between you and KORA Sound and supersede all prior agreements or understandings relating to your use of the Platform.
